Mục đích và Phạm vi nghĩa vụ bảo lãnh đối ứng (Purpose and scope of counter guarantee):
Bảo đảm toàn bộ nghĩa vụ hoàn trả tiền bảo lãnh của Bên được bảo lãnh đối với Bên nhận
bảo lãnh đối ứng trong trường hợp Bên nhận bảo lãnh đối ứng đã thực hiện nghĩa vụ thanh
toán cho Bên nhận bảo lãnh trực tiếp theo Thư bảo lãnh ( To guarantee for the entire of refund
obligation of the Guaranteed Party to the Beneficiary of counter guarantee in case of that the
Beneficiary of counter guarantee has paid to the Beneficiary of direct guarantee under the

lãnh đối ứng của Bên nhận bảo lãnh đối ứng cùng với hồ sơ chứng minh Bên bảo lãnh trực
tiếp đã thực hiện nghĩa vụ bảo lãnh cho Bên được bảo lãnh theo Thư bảo lãnh .................

guarantee enclosed with documents evidencing that the Beneficiary of counter guarantee has
executed its guarantee obligation for the Guaranteed Party in accordance with the ..... Guarantee

Bất cứ yêu cầu nào liên quan đến bảo lãnh này phải gửi kèm theo bản gốc Thư Bảo lãnh này
đến ...Bank trong giờ làm việc của ...Bank và trong thời gian hiệu lực của Thư Bảo lãnh này.
Any demand(s) relating to this Guarantee must be enclosed with the original of this Guarantee and
be received by ...Bank at the address shown at the first part of this Guarantee during ...Bank’s
working hours and within the valid period.

Thư bảo lãnh này được điều chỉnh và giải thích theo pháp luật Việt Nam. Mọi tranh chấp
phát sinh từ hoặc liên quan đến Thư bảo lãnh này sẽ được giải quyết bởi Tòa án có thẩm
quyền của Việt Nam.
This Guarantee is governed by and construed under the laws of Vietnam. Any dispute arising out of
or relating to this Guarantee will be resolved by the competent courts of Vietnam.

10. Thư bảo lãnh này được lập bằng tiếng Việt và tiếng Anh. Trường hợp có bất kỳ mâu thuẫn
nào giữa nội dung tiếng Việt và tiếng Anh, thì nội dung tiếng Việt sẽ được ưu tiên áp dụng
This Guarantee is issued in Vietnamese and English. In case there is any discrepancy, the
Vietnamese shall prevail.

11. Thư Bảo lãnh này được phát hành duy nhất một bản gốc, không có giá trị chuyển nhượng và
có hiệu lực kể từ ngày...../..../….. đến .. giờ…ngày…./…../…...
This Guarantee is issued only one original, is not transferable and takes effect from the date of ..... /
